The dynamic speaker principle in the headphone will
demand some damping to give the usuall response.
Adding a resistor will ruin this damping,
as a result the motor resonance will be more pronounced.
This is really a trick to beef up a bass response.
So, the potentimeter approach seems better, since the
output impedance can be chosen.

Hi all,
I want to build an "adjustable passive headphones attenuator", in other
words, a pot (between amp and headphones) to control the volume. Which
is preferable here, a true potentiometer or a variable resistor in
series with the headphones? And which pot value? I don't need the
volume control go down to zero.
