It wouldn't be hard to do with just aobut any small microprocessor, like an
HC11, PIC or AVR.
If all it's doing is waiting for clock information, it could spend it's time
in a busy-wait, watching the input pins (you'd wan't to monitor the clock
and play pins at the very least, possibly the reset as well). When A clock
tick started, you'd turn it into MIDI clock ticks. When the start line went
on, you'd want to send an MIDI start, vice versa for the line off into a
stop message.
If you also watched the reset line, you could also generate continue as is
appropriate.
And it would be trivially harder to make a "master clock" module that sent
both DIN and MIDI clocks.
